Terms of Service

These terms are the agreement between you and Halie AI LLC ("halie", "we", "us") for the halie platform and everything in it. By starting a plan, or by using the service, you accept them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
1. Eligibility and accounts
You must be at least 18 and able to enter a contract. You are responsible for everything that happens under your account, for keeping your credentials secure, and for making sure everyone you give access to follows these terms. Tell us promptly if you think your account has been compromised.
You agree that we may send you notices about your account electronically, by email or inside the platform, and that those notices satisfy any requirement that they be in writing.
2. The service and your licence
We grant you a non-exclusive, non-transferable right to use halie for your own business for as long as your subscription is current. We may add, change or remove features over time. If we remove something material we will tell you first.
3. Your data is yours
Your contacts, conversations, recordings, files and content remain your property. You grant us only the licence we need to host, process, transmit and back them up in order to run the service, and to support you when you ask. We do not sell your data and we do not use your customer lists for our own marketing.
4. Messaging compliance, and the part that matters most
halie sends texts, emails and calls as you. In the eyes of the law and the carriers, you are the sender. This section is the price of that.
You agree that, for every person you contact through halie, you will:
- Get consent before you message them, of the kind the law requires, which for marketing text messages in the United States means prior express written consent.
- Keep records of that consent, including what they agreed to, when, and how, and produce them if we or a carrier ask.
- Honour opt outs immediately, and in any case within 10 days. STOP, END, QUIT, CANCEL, UNSUBSCRIBE and their obvious equivalents must all work, and halie processes them automatically. Do not message anyone again after they opt out.
- Identify yourself in your messages, so the recipient knows which business is contacting them.
- Include a working unsubscribe link and a real postal address in marketing email, as CAN-SPAM requires.
- Respect quiet hours and local calling and texting time restrictions.
- Never use purchased, rented, scraped or harvested lists. This is the fastest way to get a number blocked and an account suspended.
- Comply with the law that applies to you, including the TCPA, CAN-SPAM, CASL, state telemarketing and mini-TCPA statutes, the CTIA messaging principles, and any equivalent outside the United States.
5. Registration, filtering and things outside our control
Sending business text messages in the United States requires brand and campaign registration, commonly called A2P 10DLC. You are responsible for giving accurate registration information, and registration can be rejected or revoked by parties other than us.
Carriers can filter, delay or block messages at their own discretion, including messages that are entirely lawful. We do not control that and we cannot guarantee delivery. Carriers are not liable for delayed or undelivered messages, and neither are we.
6. Content carriers refuse
You may not send messages relating to cannabis, CBD, vaping or tobacco, firearms or ammunition, illegal substances, high-risk lending including payday and short-term loans, debt collection or credit repair, gambling, adult content, or get-rich-quick and multi-level marketing schemes. Carriers block these categories regardless of consent, and sending them puts every number on the platform at risk.
7. Calls and recording
Where you enable call recording, you are responsible for getting the consent the law requires. Some states and countries require the consent of every party on the call. Announcing the recording at the start is your obligation, not ours.
8. Acceptable use
You agree not to use halie to send unsolicited messages, to harass or deceive, to send unlawful, discriminatory or infringing content, to breach or probe the security of the platform, to scrape it, to resell access without our written agreement, or to make automated requests at a volume that degrades the service for anyone else.
We may suspend or terminate an account that breaches this section, and we may do so immediately and without notice where there is a risk of harm, legal exposure or carrier action. Report abuse to hello@halie.ai.
9. AI features
Where AI-assisted features are enabled for an account, three things are worth knowing about them.
- AI output can be wrong. It is not legal, financial, medical or professional advice, and you are responsible for what goes out under your name. Review anything that matters.
- AI services may involve third-party providers. Their role and the data needed for an enabled feature depend on the account configuration. Our handling of personal information is governed by the Privacy Policy.
- Where the law requires you to tell people they are talking to an automated system, that disclosure is your responsibility.
10. Third party services and integrations
Where an account is configured to use a third-party service, that service has its own terms, availability and pricing. Available connections depend on the active Halie configuration. We are not responsible for a third party's acts or outages, and a connection may change or stop working if the provider changes it.
11. Fees, billing and refunds
- The verified base subscription is $97 per month for one business, billed in advance and renewing month to month until you cancel. A different price or term applies only when it is confirmed in a written order or checkout presented to you.
- Usage is billed separately. Phone, SMS, email, AI, taxes and applicable paid third-party services are outside the base subscription. Review the current rates and required billing setup before those services are enabled.
- Fees exclude tax unless stated otherwise, and you are responsible for any tax that applies.
- If a payment fails we may retry it and may suspend the account until it clears.
- Any refund right or promotional guarantee is limited to what is confirmed in writing at the time of purchase and what applicable law requires.
- We may change pricing with at least 30 days' notice before it applies to you.
12. Cancellation and what happens after
The base subscription is month to month with no minimum term beyond the current monthly period. Use the cancellation process supplied for your account, or email hello@halie.ai for the current instructions. We will confirm when cancellation takes effect and what access remains.
Contact data export is included. Request any needed export before cancellation. Available formats, export of conversations or recordings, and post-cancellation access depend on the account configuration and the current process we confirm to you. Retention and deletion are described in the Privacy Policy.
13. Availability and support
We work to keep halie available and will give notice of planned maintenance where we can. There is no service level agreement at this price and no service credits. We do not guarantee uninterrupted service, and we are not liable for downtime caused by third parties, carriers, network conditions or events outside our reasonable control.
Support is by email, answered by a person, within one business day.
14. Confidentiality
Each of us may learn confidential information about the other. Both of us agree to protect it with at least reasonable care, to use it only for the purpose it was shared for, and not to disclose it, except where the law compels disclosure and the other side has been given notice where that is permitted.
15. Feedback
If you send us ideas or suggestions, we may use them without restriction and without owing you anything. We will not identify you as the source without asking.
16. Publicity
We will not use your name, logo or business in our marketing unless you agree in writing first.
17. Intellectual property and copyright complaints
The platform, its software, design and brand are ours or our licensors'. You get the licence in section 2 and nothing more. If you believe material on the service infringes your copyright, send a DMCA notice to hello@halie.ai identifying the material, with your contact details, a statement of good faith belief, and a statement under penalty of perjury that you are authorised to act. We will respond, and we terminate repeat infringers.
18. Indemnity
You will defend, indemnify and hold us harmless from claims, damages and costs, including reasonable legal fees, arising from your content, your use of the service, your messaging activity, or your breach of these terms or of the law. This survives termination.
19. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the service will be uninterrupted, error free, or that any message will be delivered.
20. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to these terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if we were told they were possible. Some jurisdictions do not allow these limits, in which case they apply to the extent permitted.
21. Governing law and disputes
These terms are governed by the laws of the State of Georgia, without regard to conflict of law rules. Before filing anything, both of us agree to try to resolve the dispute informally by writing to the other and allowing 30 days. If that fails, the courts of the State of Georgia have exclusive jurisdiction, and both of us consent to that venue.
22. Export control, sanctions and anti-corruption
You confirm that you are not located in, and are not ordinarily resident in, a country or region subject to comprehensive US sanctions, and that you are not on any US government restricted party list. You will not use halie in breach of export control or sanctions law, and you will not offer or accept any bribe or improper payment in connection with it.
23. Government end users
The service is a commercial item as that term is defined in 48 C.F.R. 2.101. If you are a US government end user, you acquire only the rights granted to all other users under these terms.
24. Transfer and processing of data
We operate in the United States, and our service providers may operate elsewhere. By using halie you consent to your information being transferred to, stored in and processed in the United States and in any other country where we or our providers operate, subject to the safeguards described in the Privacy Policy.
25. Changes to these terms
We may update these terms. If a change is material we will tell you before it takes effect. Continuing to use halie after that means you accept the updated terms. If you do not, cancel.
26. General
If any part of these terms is unenforceable, the rest continues to apply. Our failure to enforce something is not a waiver of it. You may not assign this agreement without our written consent; we may assign it in connection with a merger or sale of the business. These terms, with the Privacy Policy, are the entire agreement between us.
