Affiliate Agreement

This agreement governs your participation in the halie.ai affiliate program, run by Halie AI LLC ("halie", "we", "us"). By applying you accept it. The commercial numbers referred to below are published in full on the program page and form part of this agreement.

1. Applying and acceptance

You must be at least 18 and able to enter a contract. We accept or decline applications at our discretion and we do not have to give a reason. You are an independent contractor, not an employee, agent, partner or joint venturer of halie, and nothing here creates any of those.

An application alone does not activate the program. Do not promote halie until we confirm acceptance, the current commercial terms, and the tracking setup in writing.

2. Your link and attribution

• You will be given a unique tracking link. A referral is attributed to you when someone arrives through that link and starts a paid plan.
• Attribution is last click, over a cookie window of 60 days.
• If a customer arrives through more than one affiliate's link, the most recent one before signup is credited.
• Do not obscure, cloak, reframe or rewrite the link in a way that hides where it goes, and do not attempt to interfere with another affiliate's attribution.

3. Commission and payment

• Commission is 30% of the $97 monthly subscription, recurring for as long as the referred account remains paid and in good standing.
• Commission is payable on subscription revenue only. Usage charges for messaging, calls and AI, and any taxes, are excluded.
• A commission is pending for 30 days and then becomes earned.
• Earned commission is paid on The 1st of the following month, provided your balance is at least $50. Balances under the threshold roll forward and do not expire.
• Second tier: None. You are paid on the people you refer, not on the people they refer.
• You are responsible for your own taxes. We may require a tax form before paying you, and we may withhold where the law requires.
• Payments are made by PayPal or bank transfer. Fees charged by the payment provider come out of the payment.

4. Reversals

If a referred customer refunds, charges back, or cancels within the holding period, the related commission is reversed and deducted from your next payment. Reversals do not apply to commissions already earned and paid, except in cases of fraud or breach of this agreement.

5. Self-referral and related accounts

You may not earn commission on your own account, on an account you control, or on an account belonging to a business you own or operate. A genuine client-owned account may qualify only when the client is the customer, owns the billing method and login credentials, and controls the account. You may assist with setup, but creating or controlling accounts to generate commission is not allowed.

6. How you may promote halie

Permitted, and encouraged: your website, blog, newsletter, social posts, videos, podcasts, courses, communities, webinars and speaking to people directly.

Not permitted:

• Bidding on "halie", "halie.ai" or close variants and misspellings in paid search, or using them in display URLs or ad copy in a way that suggests you are us.
• Registering domains, social handles or app names containing "halie" or a confusingly similar term.
• Unsolicited email or text. Everything you send has to comply with CAN-SPAM, the TCPA and any equivalent law where you or your audience are.
• Coupon, cashback, incentive and "free trial" claims we have not published.
• Cookie stuffing, forced clicks, pop-unders, iframes, adware, toolbars or browser extensions that set the cookie without a deliberate click.
• Inventing results, testimonials, screenshots, income claims or endorsements. If you have not measured it, do not publish it.
• Claiming to be halie, to speak for halie, or to be able to make commitments on our behalf. You may not offer support, refunds, discounts or contract terms in our name.
• Bidding, posting or promoting in a way that breaches the terms of the platform you are posting on.
• Content that is unlawful, deceptive, discriminatory, adult, or that disparages a competitor with claims you cannot substantiate.

7. Disclosure

You must clearly disclose that you earn a commission, in a place a reader will actually see it, next to the link rather than buried in a footer or behind a click. This is required by the US Federal Trade Commission's endorsement guidance and by us. If you are outside the US, follow your local equivalent as well.

8. Brand use

We grant you a limited, revocable, non-exclusive licence to use the halie name and the logo files we supply, solely to promote halie under this agreement and in line with any brand guidance we provide. You may not alter the marks, and all goodwill in them belongs to us. The licence ends when this agreement ends.

9. Your obligations

You are responsible for your own content, channels, tax affairs and compliance with the law. You will not do anything that damages the halie brand or exposes us to liability, and you will tell us promptly if you become aware of misuse of your link.

10. Confidentiality

Dashboard data, unpublished commercial terms and anything we mark as confidential stay confidential. Published program rules are not confidential.

11. Changes to the program

We may change the commission rate, the holding period, the cookie window or any other program term with 30 days' notice by email. Changes apply to referrals made after the notice period ends. Continuing in the program after that is acceptance.

12. Suspension and termination

• Either of us may end this agreement at any time, for any reason, on written notice.
• We may suspend your account and withhold payment immediately where we reasonably suspect fraud, self-referral, a breach of section 6, or activity that puts our carrier or payment relationships at risk. We will tell you why and give you a chance to respond.
• On termination without breach, commission already earned is paid on the next normal payday, and commission on your existing referrals continues for as long as those accounts stay paid.
• On termination for fraud or breach, unpaid commission is forfeit.
• You must remove your links and stop using our brand within 14 days.

13. No guarantee of earnings

We make no promise about how much you will earn, or that you will earn anything. Any figure shown on the program page is arithmetic illustrating how the commission is calculated, not a projection and not a typical result.

14. Disclaimers and liability

The program is provided "as is". To the fullest extent permitted by law, our total liability under this agreement is limited to the commission paid or payable to you in the twelve months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, or for lost profits or opportunity.

15. Indemnity

You will defend, indemnify and hold us harmless from claims, damages and costs, including reasonable legal fees, arising from your promotional activity, your content, or your breach of this agreement or of the law.

16. General

This agreement is governed by the laws of the State of Georgia and its courts have exclusive jurisdiction. If any part is unenforceable, the rest continues. You may not assign it without our written consent. This agreement, with the published program rules, is the entire agreement between us about the affiliate program. It does not change the Terms of Service that apply to your own halie account, if you have one.
